Background: 

Our client, who operated a successful professional services business, was acquired in a transaction that closed earlier this year. 


Challenges: 

The transaction included a detailed working capital reconciliation structure, meaningful intellectual property transfers, as well as significant post closing earn out provisions. Moreover, a number of the seller’s employees were transitioned to positions with the buying entity. Lastly, there were a number of contracts that were assigned to the buying entity. 


Result:

The transaction was successfully closed and the parties continue to operate a successful business.
